Welcome to NAVIX. These Terms of Service ("Terms") govern your access to and use of the NAVIX website, mobile applications (driver & admin), APIs, and related services (collectively, the "Service") provided by NAVIX Logistics ("we", "us", "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. Businesses must be duly registered under applicable Indian laws.
2. Accounts
- You are responsible for maintaining the confidentiality of your account credentials.
- You agree to provide accurate, current, and complete information during registration.
- We reserve the right to suspend or terminate accounts for violations of these Terms or suspicious activity.
3. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or in violation of any applicable law
- Attempt to gain unauthorized access to any part of the Service or another user's account
- Interfere with or disrupt the Service or servers/networks connected to the Service
- Scrape, copy, or misuse tracking/location data for purposes outside your legitimate fleet operations
- Upload viruses, malware, or harmful code
- Impersonate any person or entity
4. Location & Tracking Data
The Service relies on real-time GPS and location data from drivers' mobile devices. By using the driver app, drivers consent to continuous location sharing while on duty and during active trips. Location data is visible only to authorized users within the same organization (fleet owner / dispatcher / admin).
5. Intellectual Property
The Service, including software, design, text, graphics, logos, and all content, is owned by NAVIX or its licensors and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose only.
6. Payment & Subscription
- Some features require a paid subscription. Fees are quoted exclusive of applicable taxes (GST).
- Payments are processed through secure third-party gateways. Subscriptions auto-renew unless cancelled.
- We may change pricing with 30 days' notice via email or in-app notification.
7. Limitation of Liability
To the maximum extent permitted by law, NAVIX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or in connection with the Service — even if advised of the possibility of such damages.
8. Indemnification
You agree to indemnify and hold NAVIX harmless from any claim, demand, loss, liability, or expense (including attorneys' fees) arising from your use of the Service, violation of these Terms, or violation of any third-party rights.
9. Termination
We may terminate or suspend your access to the Service immediately, without prior notice, for any breach of these Terms or for any other reason we deem appropriate.
10. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat.
11. Changes to Terms
We may revise these Terms from time to time. The updated version will be posted on this page with the revised "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.
